Terms of Service
The agreement between you and LIVEHOST LIMITED for use of the LiveHost platform.

1. About these terms
These terms of service ("Terms") form a binding agreement between you and LIVEHOST LIMITED, a company registered in England and Wales (company number 17238773, registered office 4-10 North Road, London, N7 9EY) ("LiveHost", "we", "us", "our").
By creating an account, accessing or using the LiveHost website, web application, mobile applications, Shopify app, or any related services (together, the "Platform"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
2. What LiveHost is
LiveHost is a host marketplace and management tool for TikTok LIVE commerce. The Platform helps:
- brands discover and book livestream hosts, schedule streams and studios, send messages, and view performance data;
- agencies manage rosters of hosts and multiple client brands;
- hosts manage their schedule, messages, profile, and performance data.
LiveHost is a technology platform. We do not produce livestreams, do not employ hosts, and are not party to the underlying engagement between a brand or agency and a host.
3. Eligibility and accounts
- You must be at least 18 years old to register or use the Platform.
- You must provide accurate and complete information and keep it up to date.
- You are responsible for everything that happens under your account and for keeping your sign-in credentials confidential.
- If you sign up on behalf of a company or other organisation, you warrant that you have authority to bind it to these Terms.
- One person may not maintain more than one account of the same type without our written agreement.
4. Roles and relationships
Hosts are independent. A host who appears on the Platform is either a freelance independent contractor, a worker engaged directly by the brand or agency that books them, or an individual managed by a partner agency. Hosts are not employees, workers, agents or partners of LiveHost. The contract for any actual livestream services is between the host (or their agency) and the brand or agency booking them.
No agency on our part. We provide the Platform as a neutral marketplace and management tool. We do not arrange, supervise, direct or assume responsibility for the work of any host, and we are not an employment business or employment agency.
Booking-party responsibilities. If you book a host through the Platform, you are responsible for your direct legal obligations to that host (including any required worker-status assessments, tax withholding, IR35 determinations, and statutory rights), and for compliance with the laws of the countries where the stream takes place.
Host responsibilities. If you are a host, you are responsible for your own tax, national insurance, and (where applicable) VAT, and for complying with the laws and licensing rules that apply to live commerce in the countries where you stream.
5. Acceptable use
You agree not to:
- use the Platform for any unlawful, fraudulent, harmful, harassing, abusive, or discriminatory purpose;
- upload, post or send content that is illegal, defamatory, obscene, sexually explicit, threatening, infringes any third party's rights, or violates the rules of TikTok or any other connected platform;
- impersonate any person or organisation, or misrepresent your affiliation;
- upload viruses, malware or other harmful code;
- scrape, crawl, reverse-engineer, decompile, or attempt to circumvent technical controls of the Platform;
- interfere with the Platform's operation or attempt to access another user's account or data without authorisation;
- use the Platform to compete with us, including by collecting profile or performance data to build a rival product;
- use the Platform to send unsolicited marketing or spam;
- use the Platform in a way that places LiveHost in breach of any platform agreement we have with TikTok, Apple, Google, Shopify or another partner.
We may remove content, suspend accounts, and report serious or repeat breaches to the relevant authorities. We may also flag, withhold, or remove a host listing or booking we reasonably consider to put hosts, brands, or the Platform at risk.
6. Reporting and content moderation
We provide in-product tools to report messages, profiles or other content that you believe breaches these Terms. You can also email legal@livehost.com.
We review reports promptly and may remove content, restrict accounts, or take other action we reasonably consider appropriate. We do not tolerate objectionable content or abusive users.
7. Your content and licence
Your content stays yours. You retain ownership of the profiles, messages, files, and other content you submit to the Platform ("Your Content").
Licence to us. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, copy, display, transmit, format and process Your Content solely so we can operate and improve the Platform and provide it to you and the people you authorise to see it.
Your responsibilities. You warrant that you own Your Content or have all necessary rights to upload it, that it does not infringe anyone's rights, and that we may use it as described in these Terms.
Removal. We may remove or refuse to display Your Content if we reasonably believe it breaches these Terms or the law.
8. TikTok integration and tracker data
If you connect a TikTok account or upload TikTok Shop tracker data to the Platform, you grant us the rights and permission to access, ingest, store, parse and process that data so we can deliver the booking, performance, reconciliation and billing features you have asked for.
- You warrant that you are entitled to share that data with us — for example, that you are the owner of the connected TikTok account, the holder of the relevant TikTok Shop, or have authority from the holder to upload its tracker files.
- You acknowledge that your use of TikTok APIs and tracker data through the Platform is also governed by TikTok's own terms (including the TikTok Developer Terms of Service and the TikTok Shop seller terms), and that you must keep your use compliant with them.
- You may disconnect a TikTok integration or ask us to delete TikTok-derived data at any time. See our Privacy Policy for how we store and delete this data.
9. Subscriptions, bookings and fees
Subscriptions. Some uses of the Platform require a paid subscription. Subscription fees, payment terms, and any taxes are as set out in your order, on the pricing page, or in a written agreement we have signed with you. Unless agreed otherwise, subscriptions are billed in advance and renew automatically.
Cancellation. You can cancel renewal at any time, in which case your subscription will end at the end of the then-current billing period. Fees paid for a period that has begun are non-refundable except where required by law.
Host fees. Fees for host services are agreed between the host (or their agency) and the brand or agency booking them. LiveHost may calculate and present those fees through the Platform, and may facilitate billing reconciliation, but is not a party to the underlying engagement and is not responsible for payment of host fees unless we have expressly agreed in writing to act as a payment agent.
Taxes. Each party is responsible for its own taxes. Subscription fees are exclusive of VAT and other applicable taxes.
10. Our intellectual property
The Platform (including its software, design, layout, copy, logos, and the LiveHost name) is and remains the property of LIVEHOST LIMITED and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms. No other rights are granted by implication, estoppel or otherwise.
11. Mobile app — additional terms
The LiveHost mobile app is licensed (not sold) to you. If you obtained the app from the Apple App Store, the following also applies:
- These Terms are between you and LIVEHOST LIMITED only, and not with Apple. Apple is not responsible for the app or its contents.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, who may refund the purchase price (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation in respect of the app.
- Apple is not responsible for addressing any claims by you or any third party relating to the app, including product-liability claims, claims that the app fails to comply with any legal or regulatory requirement, claims arising under consumer-protection or similar legislation, and intellectual-property infringement claims.
- You represent and warrant that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
If you obtained the app from Google Play, the Google Play Terms of Service additionally apply.
12. Suspension, termination and account deletion
- You can close your account at any time from inside the Platform or by emailing legal@livehost.com.
- We may suspend or terminate your access to all or part of the Platform if you breach these Terms, if your account is used to harm another user or a third party, if we are required to do so by law, or if your account has been inactive for an extended period.
- On termination, the rights you have under these Terms end immediately, but provisions that should reasonably survive (including IP, liability, indemnity, and governing law) will continue.
- See section 14 of our Privacy Policy for what happens to your data when your account is deleted.
13. Disclaimers
To the maximum extent permitted by law:
- the Platform is provided "as is" and "as available", without warranties of any kind (express, implied or statutory), including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement;
- we do not warrant that the Platform will be uninterrupted, error-free, or free of viruses;
- we make no representation about the accuracy, reliability or completeness of data ingested from third-party services (including TikTok Shop tracker data), or about any host's suitability for any particular booking;
- each user is responsible for verifying for itself the identity, conduct, and capability of any other user it engages with through the Platform.
14. Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.
Subject to the paragraph above, and to the maximum extent permitted by law:
- we will not be liable for any indirect, consequential, special or punitive losses, or for any loss of profits, revenue, business, goodwill, anticipated savings, contracts, or data;
- our total aggregate liability arising out of or in connection with these Terms (whether in contract, tort, including negligence, breach of statutory duty, or otherwise) in any 12-month period will not exceed the greater of (a) the amounts paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) £100.
15. Indemnity
You agree to indemnify and hold LIVEHOST LIMITED, its officers, directors, employees and contractors harmless from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your use of the Platform in violation of law or any third-party platform agreement (including TikTok, Apple, Google or Shopify); (c) any content you upload to the Platform; or (d) any dispute between you and another user arising from a booking or engagement made through the Platform.
16. General
Entire agreement. These Terms (together with the Privacy Policy and any order form, subscription plan, or written agreement we have signed with you) form the entire agreement between us and supersede any prior agreement on the same subject matter.
No waiver. If we do not enforce a right, that is not a waiver of that right.
Severability. If any provision is found unenforceable, the rest of these Terms will continue in full force.
Assignment. You may not assign or transfer your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
No third-party rights (other than as stated in section 11) — the Contracts (Rights of Third Parties) Act 1999 does not apply.
17. Governing law and disputes
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute (including non-contractual disputes), except that, if you are a consumer, you may also bring proceedings in the courts of the country in which you are habitually resident.
18. Changes to these terms
We may update these Terms from time to time. If we make a material change we will notify you by email or by an in-product notice and will update the "Last updated" date above. Your continued use of the Platform after the change takes effect constitutes acceptance of the updated Terms.
